This paper seeks to provide an overview of the legal risk liability issues that arise in the management of personal data in e-security policies. It argues that if personal data is properly managed, not only can legal liabilities be avoided but organizations can transform the practice of personal data management into a corporate asset building exercise. At the end of this paper, the reader should understand how personal data should be managed in a proactive and structured manner in the context of an organization’s e-security policies.

‘Thinking the unthinkable’. Mungkin inilah pemeo yang terlintas ketika kita membincangkan masalah pengaturan konten dalam ruang maya (cyberspace). Dalam diskursus perundangan dan kebijakan Internet, pengaturan konten Internet (Internet Content Regulation) ini memang telah menghamparkan polemik yang masih belum selesai. Berbagai pendekatan diambil di berbagai negara dan malah di banyak tempat, masalah ini belum mendapat perhatian sama sekali.
Minimnya perhatian itu disebabkan oleh berbagai faktor, yang setidaknya dapat digambarkan dalam dua skenario: pertama, di negara-negara yang tingkat kemajuan digitalnya rendah, pengaturan konten tentunya dianggap sebagai inisiatif prematur. Biasanya di negara-negara ini Internet masih merupakan barang mewah dan yang pasti belum terlihat adanya penyalahgunaan konten yang merugikan masyarakat. Ini merupakan faktor prioritas. Skenario kedua, ketika infrastruktur Internet sudah cukup luas dan masyarakat mulai merasakan dampak konten yang tidak sehat, tentunya prioritas untuk menengok ke masalah ini sudah tidak perlu diperdebatkan lagi. Biasanya di negara ini mulai timbul permintaan atau desakan berbagai elemen masyarakat kepada pemerintah untuk mengontrol konten Internet. Tapi kebijakan tak jua timbul disebabkan oleh ketidaksiapan: kebijakan yang bagaimana yang harus diambil? Apalagi teknologi berlari begiu cepat dan tidak adanya panduan internasional yang disepakati dalam hal pengaturan konten ini. Ini adalah faktor kesiapan, dimana cepat atau lambat berbagai pendekatan akan diambil bagi mengatasi dampak negatif kebebasan konten di Internet.

Dipicu oleh rentetan aksi terorisme di Thailand sejak 2004, pemerintah negara-negara ASEAN secara terpisah namun sejalan mulai mengambil kebijakan ketat terhadap pelangganan telepon seluler prabayar berupa penerapan registrasi dan pendataan pemakainya (Republika, 09/11). Dalam setahun terakhir saja, inisiatif ini dapat ditemui di empat negara utama ASEAN: Thailand, Singapura, Malaysia dan kini di Indonesia. Sederhananya, ada dua faktor yang melatarbelakangi inisiatif ini. Pertama, ancaman terorisme yang menghantui pemerintah dan juga rakyat, dan kedua, berbagai kasus penyalahgunaan teknologi telekomunikasi ini yang makin merebak dengan berbagai modus operandinya. The influences of ICT to the notion of corporate governance can not be more obvious in today’s enterprises that operate in the technological environment. It has led to the development of the concept of the virtual corporation, the virtual investor and the virtual fiduciary; all would affect the interlocking relationships among the different groups (Hee, 2003).
If ICT does come to be used extensively by enterprises in the future, this could have a significant effect on the way companies are managed and on the way in which the interests of the shareholder and the stakeholder are balanced by the corporate governors, its board and directors (Burns, 2001). For the sake of limitation, this paper specifically investigates the implication of ICT on three key components of corporate governance: transparency, internal control and risk management.

(This constitutes the first section of the paper discussing on ICT risks management and corporate governance, presented in Brunei Darussalam, April 2007).
Corporate governance is now becoming a standard requirement for proper industrial conduct and effective organization. More so for micro and medium-sized enterprises (MMEs) vying for access to financial services, perimeters such as internal control, transparency, and disclosure of material information –among key areas of corporate governance– are something potential investors today would naturally like to see with particular interests. As Chapra and Ahmed (2002) argued, effective corporate governance is one of the most important pillars of the new environment that needs to be created to replace the old socio-economic environment that no longer exists.
